Application of the Electronic Signatures in Global and National Commerce Act To Record Retention Requirements Pertaining to Issuers Under the Securities Act of 1933, Securities Exchange Act of 1934 and Regulation S-T

Issuers must continue to retain the paper original of authentication documents, such as manually-signed signature pages, because these records are generated principally for governmental purposes and are excluded from the Electronic Signatures in Global and National Commerce Act. For other records required under the Securities Act, Securities Exchange Act, and Regulation S-T that do not expressly mandate paper retention, issuers may store them in electronic form provided the method ensures accuracy and accessibility comparable to paper. The guidance becomes effective on June 21, 2001, and does not impose additional performance standards for electronic retention at this time.
