Bookkeeping Services Provided by Auditors To Audit Clients in Emergency or Other Unusual Situations

The Securities and Exchange Commission interprets Rule 2-01(c)(4)(i)(B)(1) of Regulation S-X to allow auditors to provide bookkeeping services to audit clients directly affected by the September 11, 2001 attacks without impairing independence. This exception applies provided the accounting firm does not undertake any managerial actions or make managerial decisions. The authorization permits services to continue until the client's records are reconstructed and financial systems are fully operational.
