Certain Broker-Dealers Deemed Not To Be Investment Advisers

The Securities and Exchange Commission adopts temporary rule 275.202(a)(11)T, effective January 6, 2005, and expiring April 15, 2005, which exempts certain registered broker-dealers from the Investment Advisers Act of 1940. The rule excepts broker-dealers providing nondiscretionary investment advice that is solely incidental to brokerage services, regardless of whether they charge asset-based or fixed fees rather than commissions. Eligibility requires that the broker-dealer does not exercise investment discretion over the accounts from which it receives special compensation. The rule also clarifies that charging different commission rates for full-service versus discount brokerage services does not constitute receiving special compensation.
