Certain Broker-Dealers Deemed Not To Be Investment Advisers

The Securities and Exchange Commission adopts rule 202(a)(11)–1 under the Investment Advisers Act of 1940, excepting broker-dealers from the Act if their advice is solely incidental to brokerage services and they charge an asset-based or fixed fee rather than a commission, provided they make specific disclosures. The rule clarifies that exercising investment discretion, charging a separate fee for advisory services, or holding out as a financial planner constitutes advice that is not solely incidental to brokerage. Broker-dealers are not subject to the Act solely for offering full-service or discount brokerage services at reduced commission rates. The rule becomes effective on April 15, 2005, with a specific provision effective May 23, 2005.
