Certain Research and Development Companies

The Securities and Exchange Commission adopts new rule 3a-8, providing a nonexclusive safe harbor from the definition of investment company for certain bona fide research and development companies. To qualify, a company must have research and development expenses that constitute a substantial percentage of total expenses and equal at least half of its investment revenues for the last four fiscal quarters combined, while investment-related expenses must not exceed five percent of total expenses. The rule also requires that investments be made to conserve capital and liquidity until needed for primary business operations, and mandates that the board of directors adopt investment guidelines consistent with capital preservation. This rule becomes effective on August 19, 2003.
