CFTC Staff Letter 14-132: Interpretation of Notification and Reporting Obligations for Initial Margin in Uncleared Swaps

The Division of Swap Dealer and Intermediary Oversight clarifies that swap dealers and major swap participants must provide annual notification of the right to segregate initial margin in any calendar year in which a new uncleared swap transaction is entered into, regardless of prior elections. The notification and quarterly reporting requirements under Regulations 23.701 and 23.704 do not apply if no initial margin is required to be posted or collected by contract or regulation. Additionally, swap dealers and major swap participants may rely on negative consent to deem a counterparty's failure to respond as confirmation of receipt and an election not to require segregation, provided the notice includes a prominent statement to that effect.
