CFTC Staff Letter 18-12: Interpretation of Regulation 150.4(b)(1) Aggregation Exemption for Passive Investors

The Division of Market Oversight confirms that a passive institutional investor qualifying for the Regulation 150.4(b)(1) aggregation exemption is not required to look through its investment in a commodity pool to aggregate commodity interest positions held by an underlying portfolio company solely due to acquiring a 10 percent or greater indirect interest. This relief applies provided the investor is not excluded by the exceptions in Regulations 150.4(b)(1)(i)-(iii), such as holding a 25 percent or greater interest in a pool whose operator is exempt from CPO registration. The interpretation does not extend to situations where the investor controls trading, trades in concert with the portfolio company, or invests in alternative funds to circumvent position limits.
