Conditional Small Issues Exemption Under the Securities Act of 1933 (Regulation A)

The Securities and Exchange Commission adopted amendments to Regulation A under the Securities Act of 1933 to implement mandates from the Economic Growth, Regulatory Relief, and Consumer Protection Act. These changes permit entities subject to the reporting requirements of Section 13 or 15(d) of the Securities Exchange Act of 1934 to utilize the Regulation A exemption for offerings up to $50 million. Additionally, the rule deems that such reporting companies have satisfied their ongoing Regulation A reporting obligations if they remain current in their Exchange Act periodic reporting.
