Conditions for Use of Non-GAAP Financial Measures

The Securities and Exchange Commission adopts new Regulation G, requiring public companies to disclose the most directly comparable GAAP financial measure and provide a quantitative reconciliation when publicly releasing non-GAAP financial measures. The rules also amend Item 10 of Regulation S-K and Regulation S-B to prohibit excluding cash-settled charges from liquidity measures and to restrict adjustments that eliminate non-recurring items likely to recur within two years. Registrants must furnish earnings releases and similar announcements to the Commission on Form 8-K rather than filing them, with compliance effective March 28, 2003.
