Confirmation and Affirmation of Securities Trades; Matching

The Securities and Exchange Commission interprets that a matching service, which reconciles trade information from a broker-dealer and its customer to generate an affirmed confirmation, constitutes a clearing agency function under Section 3(a)(23) of the Exchange Act. Consequently, only entities registered as clearing agencies or exempt from such registration may provide matching services. The Commission solicits comments on two approaches for providing exemptive relief from full clearing agency regulation for qualified electronic trade confirmation vendors that perform matching.
