Custody of Funds or Securities of Clients by Investment Advisers

The Securities and Exchange Commission adopts amendments to rule 206(4)–2 under the Investment Advisers Act of 1940, requiring investment advisers with custody of client funds or securities to maintain those assets with qualified custodians, including banks, registered broker-dealers, and futures commission merchants. The amendments define custody as holding, directly or indirectly, client funds or securities or having authority to obtain possession of them, while providing exceptions for inadvertent receipt returned within three business days and specific private securities. Advisers relieved from sending account statements if qualified custodians deliver them directly to clients are also exempt from annual surprise examinations, and the rule removes the Form ADV requirement for an audited balance sheet in disclosure brochures. The amendments become effective on November 5, 2003, with a compliance date of April 1, 2004.
