Custody of Investment Company Assets With a Securities Depository

The Securities and Exchange Commission proposes amendments to rule 17f-4 to expand the types of investment companies and depositories that may be used, and to update the conditions for maintaining assets with a securities depository. The proposal would allow depositories to hold fungible assets transferred, pledged, or otherwise acquired or disposed of by bookkeeping entry, and permit funds to place assets with registered transfer agents. It also eliminates requirements for fund directors to approve custody arrangements and for funds to approve custodian arrangements with depositories, replacing them with contractual obligations for custodians to safeguard assets and provide periodic reports on internal controls and financial strength.
