Electronic Recordkeeping by Investment Companies and Investment Advisers

The Securities and Exchange Commission proposes amendments to rules 31a-2 and 204-2 to allow registered investment companies and investment advisers to preserve required records using electronic storage media, regardless of whether the records were originally created or received in an electronic format. The proposal eliminates the current restriction limiting electronic storage to records originally created or received electronically and removes the requirement for facilities to project micrographic enlargements. It clarifies that providing records 'promptly' means no later than one business day after a request and requires advisers and funds to provide electronic copies, including necessary software, to Commission examiners upon request. Registered funds and advisers may opt for this electronic storage option if they establish procedures to safeguard records from loss, alteration, or destruction and maintain duplicate copies.
