Exemption of Compensatory Employee Stock Options From Registration Under Section 12(G) of the Securities Exchange Act of 1934

The Securities and Exchange Commission adopts two exemptions from Exchange Act Section 12(g) registration for compensatory employee stock options. The first exemption applies to private, non-reporting issuers, eliminating prior transferability and ownership restrictions on shares issued upon exercise and removing the obligation to provide specific information to those share holders. The second exemption applies to issuers required to file periodic reports under Exchange Act Sections 13 or 15(d), expanding eligibility to include any such reporting issuer. These exemptions apply only to the options themselves and do not extend to the underlying class of securities.
