First-Time Application of International Financial Reporting Standards

The Securities and Exchange Commission proposes to amend Form 20-F to allow eligible foreign private issuers, upon first-time adoption of International Financial Reporting Standards (IFRS) for a financial year beginning no later than January 1, 2007, to file two years of audited financial statements instead of the usual three. Eligible issuers must not have previously published audited financial statements under IFRS and must prepare their most recent financial statements in accordance with IFRS. The proposal retains current requirements for reconciling financial statement items to U.S. GAAP but modifies the presentation format for these reconciliations in the first filing that includes IFRS financial statements. Additionally, the amendment requires certain disclosures regarding the transition from previous accounting standards to IFRS for all foreign registrants changing their basis of accounting.
