Guidelines on Licensing and Conduct of Business for Fund Management Companies [SFA 04-G05]

Fund Management Companies must not target retail investors, maintain records of investment professionals, and ensure their participation is voluntary and risk-aware. FMCs must not allow ceased employees to make new investments, must have clear policies for existing commitments, and must not act as mere conduits or invest in non-capital markets products. Applicants must provide credible plans for managing third-party moneys, satisfy fit and proper criteria, and ensure key individuals have relevant experience. FMCs must be Singapore-incorporated with a permanent office, meet base capital thresholds, and maintain risk-based capital of at least 120% of total risk requirement. Ongoing requirements include independent custody, valuation, reporting, and conflict mitigation.
