Improper Influence on Conduct of Audits

The Securities and Exchange Commission adopts new rules 13b2-2(b) and (c) and redesignates existing rule 13b2-2 as 13b2-2(a) to prohibit officers, directors, and persons acting under their direction from coercing, manipulating, misleading, or fraudulently influencing independent accountants during audits. These rules apply to issuers whose financial statements are required to be filed with the Commission and become effective on June 27, 2003. The regulations specifically target actions taken when the actor knew or should have known that such conduct could result in rendering the issuer's financial statements materially misleading.
