Incentive-Based Compensation Arrangements

The OCC, Board, FDIC, OTS, NCUA, SEC, and FHFA propose rules to implement section 956 of the Dodd-Frank Wall Street Reform and Consumer Protection Act by prohibiting incentive-based compensation arrangements at covered financial institutions that encourage inappropriate risks through excessive compensation or could lead to material financial loss. The proposed regulations require covered financial institutions with $1 billion or more in assets to report the structure of their incentive-based compensation arrangements to their appropriate Federal regulator. Comments on the proposed rule must be received by May 31, 2011.
