Indexed Annuities And Certain Other Insurance Contracts

The Securities and Exchange Commission adopts Rule 151A under the Securities Act of 1933, defining indexed annuities as securities if payments are more likely than not to exceed guaranteed amounts, thereby removing them from the Section 3(a)(8) insurance exemption. This rule applies prospectively to contracts issued on or after January 12, 2011, subjecting such products to federal disclosure and antifraud protections. The Commission also adopts Rule 12h-7 under the Exchange Act, exempting insurance companies from reporting requirements for indexed annuities and other securities registered under the Securities Act, provided they are regulated under state insurance law, supervised by state regulators, and not publicly traded. The exemption from Exchange Act reporting takes effect on May 1, 2009.
