Investment Adviser Codes of Ethics

The Securities and Exchange Commission proposes new rule 204A-1 and amendments to rules 204-2 and 17j-1 to require registered investment advisers to adopt codes of ethics. These codes must establish standards of conduct, safeguard material nonpublic information, and mandate that access persons report personal securities transactions and holdings. The proposal also requires pre-approval for investments in initial public offerings and private placements, along with written acknowledgment of the code by supervised persons. Registered advisers with only one employee are exempt from the personal reporting requirements but must maintain records of personal trades.
