Issuer Review of Assets in Offerings of Asset-Backed Securities

The Securities and Exchange Commission proposes new Rule 193 under the Securities Act and amendments to Item 1111 of Regulation AB requiring issuers of registered asset-backed securities to perform a review of the underlying assets. Issuers must disclose the nature of this review, along with its findings and conclusions, and if a third party is engaged, the issuer must disclose that third party's findings and conclusions. Additionally, the proposal introduces Form ABS-15G under the Exchange Act for issuers or underwriters to file disclosures regarding third-party due diligence providers. These requirements apply specifically to registered offerings of asset-backed securities and do not extend to unregistered offerings.
