Prohibition of Fraud by Advisers to Certain Pooled Investment Vehicles

The Securities and Exchange Commission adopts new rule 206(4)–8 under the Investment Advisers Act of 1940, which prohibits investment advisers to pooled investment vehicles from making false or misleading statements to, or otherwise defrauding, investors or prospective investors in those pools. The rule applies to advisers managing any investment company defined in section 3(a) of the Investment Company Act, as well as privately offered pools excluded under sections 3(c)(1) or 3(c)(7), including hedge funds, private equity funds, and venture capital funds. This regulation clarifies that the Commission may bring enforcement actions against advisers who defraud ultimate investors in these vehicles, regardless of whether the adviser is registered with the Commission. The rule becomes effective on September 10, 2007.
