Registration of Broker-Dealers Pursuant to Section 15(b)(11) of the Securities Exchange Act of 1934

The Securities and Exchange Commission adopts Rules 15a-10 and 15b11-1 and Form BD-N to allow futures commission merchants and introducing brokers registered with the CFTC to register as broker-dealers by filing a notice for the limited purpose of effecting transactions in security futures products. The Commission grants an exemption from full broker-dealer registration requirements under Section 15(a) of the Securities Exchange Act of 1934, permitting these notice registrants to trade security futures products on any market, including National Securities Exchanges and Associations, provided they comply with specific trading restrictions. Additionally, the Commission amends Regulation S-P to align privacy provisions with the Commodity Futures Modernization Act and allows these entities to comply with CFTC financial privacy rules instead of Regulation S-P.
