Request for Comment on Subpart 400 of Regulation S-K Disclosure Requirements Relating to Management, Certain Security Holders and Corporate Governance Matters
The Securities and Exchange Commission is requesting public comment on disclosure requirements in Subpart 400 of Regulation S-K regarding management, security holders, and corporate governance. This initiative supports the Division of Corporation Finance's Disclosure Effectiveness Initiative and fulfills the study mandate of Section 72003 of the FAST Act. Comments are due by October 31, 2016, and will inform potential modernization and simplification of these rules to benefit investors and registrants.
