The Commission proposes to amend Rule 144 to reduce the holding period for resales of restricted securities from two years to one year, and to reduce the holding period for unrestricted resales by non-affiliates from three years to two years. The proposal also seeks comment on revising Rule 144 to address new trading strategies such as equity swaps and reminds persons subject to Section 16 reporting that they must report transactions involving equity swaps and other derivative securities.
