This decree-law completes the transposition of Directive 2014/65/EU (MiFID II) into Spanish law by modifying the Consolidated Text of the Securities Market Law. It introduces new authorization and conduct rules for investment firms, establishes a framework for data reporting service providers, and imposes stricter investor protection obligations regarding product governance, conflicts of interest, and remuneration. The CNMV is granted enhanced supervisory powers, including the ability to limit positions and suspend trading, alongside new cooperation mandates with the ESMA and other national authorities.
