Safe Harbor for Disclosure of Qualitative and Quantitative Information About Market Risk Inherent in Derivative Financial Instruments, Other Financial Instruments, and Derivative Commodity Instruments

The Securities and Exchange Commission proposes adding a safe harbor provision to proposed Item 305 of Regulation S-K and proposed Item 9A of Form 20-F, extending the statutory safe harbors under Section 27A of the Securities Act of 1933 and Section 21E of the Securities Exchange Act of 1934 to specified market risk disclosures. This protection applies to quantitative information under paragraph (a) and forward-looking statements regarding future reporting periods under paragraph (b)(3) of these items, regardless of the issuer type or transaction, provided the disclosure is made by an issuer, its agent, an outside reviewer, or an underwriter. For small business issuers complying with Regulation S-B, the safe harbor is also available for voluntarily provided information, contingent upon the submission of all required data under the respective paragraphs rather than just a portion. Comments on these proposed amendments are solicited by May 20, 1996.
