SEC Division of Corporation Finance no-action letter: Alliance Capital Management Holding L.P. et al.

The Division will not recommend enforcement action if Alliance Capital Management Holding L.P. and related entities implement an Exchange Program to settle class action litigation without registering the exchange of Public Units for Private Units under Section 3(a)(10) of the Securities Act of 1933. The Division also will not recommend enforcement action if the Exchange Program proceeds without compliance with Section 14(d) of the Securities Exchange Act of 1934, Rule 13e-4, Rule 14e-1(c), or Rule 13e-3, provided the program is part of a judicially approved settlement. This no-action position is contingent upon the representations made in the request letter and does not constitute a legal conclusion on the matters presented.
