The Division of Corporation Finance confirms that Non-Executive Stockholders of Booz Allen Hamilton Holding Corporation are not members of a 'group' under Section 13(d) of the Securities Exchange Act of 1934. This determination applies to stockholders who are not executive officers, directors, or greater-than-five-percent owners and who grant an irrevocable proxy and receive tag-along rights in exchange. The conclusion is based on amendments to the stockholders agreement that narrow voting and transfer provisions and eliminate certain rights for Non-Executive Stockholders, ensuring they do not agree to act together with other stockholders for the purpose of acquiring, holding, voting, or disposing of securities.
