The Division of Corporation Finance grants an exemption from Exchange Act Rule 14e-5 for Authorized Participants acting as dealer-managers of tender offers for securities held by NextShares Funds. This relief permits covered persons to redeem Shares in Creation Unit size aggregations and engage in secondary market transactions, including purchases or arrangements to purchase subject or related securities, during a tender offer. The exemption is conditioned on broker-dealers not facilitating tender offers through purchases, limiting portfolio security purchases to ordinary course basket adjustments, and maintaining compliance with Rule 14e-5 for all other activities. The relief applies to the Trust or NextShares Fund if they constitute covered persons and remains subject to modification or revocation by the Commission.
