2 files · 20 PDF pages

The Commission grants exemptions from Rule 14d-10(a)(1) and Rule 14e-5 to the Bolivarian Republic of Venezuela, permitting the Republic to make a U.S. Offer available only to holders of American Depositary Shares (ADSs) of Compañía Anónima Nacional Teléfonos de Venezuela (CANTV) while allowing all Shareholders, including U.S. persons, to participate in a simultaneous Venezuelan Offer. The staff of the Division of Corporation Finance will not recommend enforcement action under Rule 14e-1(c) if payment for securities tendered by U.S. persons is made in accordance with Venezuelan law and practice within ten Caracas Stock Exchange trading days after the expiration of the U.S. Offer. This relief allows the Republic to purchase Shares of CANTV pursuant to the Venezuelan Offer during the U.S. Offer period, subject to the condition that the Republic complies with the Exchange Act and its regulations except for the specifically granted relief.
