SEC Division of Corporation Finance no-action letter: ConocoPhillips

ConocoPhillips Common Stock and Rights are deemed registered under the Exchange Act by operation of Rule 12g-3(c) following the consummation of the Mergers with Conoco and Phillips. ConocoPhillips may use Forms S-3, S-4, and S-8 to register securities covered by employee benefit plans prior to filing its initial Form 10-K, provided participation is limited to present and qualified former employees of Conoco and Phillips and no securities are issued before the Mergers are consummated. The Division will not raise an objection if neither Conoco nor Phillips files periodic reports under Sections 13 and 15(d) in reliance on Rule 12h-5, contingent on ConocoPhillips including condensed consolidating financial information for both entities in future periodic reports. ConocoPhillips may also take into account the prior reporting histories of Conoco and Phillips to determine eligibility for Forms S-3, S-4, and S-8, and to satisfy public information requirements under Rules 144, 144A, and 145.
