SEC Division of Corporation Finance no-action letter: Employers Insurance Company of Nevada

3 files · 7 PDF pages

The Division of Corporation Finance will not recommend enforcement action if Employers Insurance Company of Nevada causes its current and future policyholders to become members of a Mutual Insurance Holding Company without registering those membership interests under the Securities Act of 1933 or the Securities Exchange Act of 1934. This position applies to the reorganization of the mutual insurance company into a stock insurance company controlled by the holding company under Nevada law. The Division notes that membership rights will remain substantially the same, the reorganization is subject to Nevada Commissioner of Insurance approval, and the holding company is prohibited from paying dividends except upon dissolution or with regulatory approval.
