Individual decision · SEC · 23 May 2019
The Division of Corporation Finance grants FQF Trust an exemption from Exchange Act Rule 14e-5, permitting broker-dealers acting as dealer-managers to purchase subject securities during a tender offer for the purpose of facilitating the offer, provided such purchases are not made for the purpose of manipulating the tender offer. The relief allows portfolio security purchases to be effected as adjustments to a basket of securities in the ordinary course of business resulting from changes in the Fund's portfolio composition. This exemption is strictly limited to the transactions described in the request and is conditioned on continued compliance with Rule 14e-5 for all other activities, as well as adherence to anti-fraud and anti-manipulation provisions of federal securities laws.
