SEC Division of Corporation Finance no-action letter: Intergraph Corp.

The Division of Corporation Finance will not recommend enforcement action if Intergraph Corporation distributes its common stock to Plan Participants upon termination of the Stock Bonus Plan without registering the distribution under the Securities Act of 1933. The Division agrees that a Plan trustee satisfies Rule 144(k) requirements when selling shares at the direction of a Plan Participant, provided the Participant would satisfy those requirements if selling directly. Additionally, the holding period for restricted securities under Rule 144 commences on the date the securities are originally allocated to an individual Plan Participant's account.
