The Division will not recommend enforcement action if Barclays Global Investors International Inc. substitutes for Barclays Global Investors, N.A., as the sponsor of the iShares COMEX Gold Trust, provided that certifications are filed in the exact form attached to the request. This relief applies to the certification requirements of Rules 13a-14(a) and 15(d)-14(a) under the Securities Exchange Act of 1934 for the Trust's quarterly and annual reports. The position is based on the representations made in the incoming letter and expresses only the Division's stance on enforcement action.

Re:
iShares COMEX Gold Trust Incoming letter dated November 20, 2006
Based on the facts presented in your letter, the Division will not recommend enforcement action to the Commission if, following the substitution of Barclays Global Investors International Inc., in place of Barclays Global Investors, N.A., as the sponsor of iShares COMEX Gold Trust, iShares COMEX Gold Trust complies with the certification requirements of Rules 13a-14(a) and 15(d)-14(a) under the Securities Exchange Act of 1934, as applicable, by providing certifications in the exact form of the certification provided in your letter.
This position is based on the representations made to the Division in your letter. Any different facts or conditions might require the Division to reach a different conclusion. Further, this response expresses the Division's position on enforcement action only and does not express any legal conclusion on the question presented.
Sincerely,

The Shares are continuously offered pursuant to a registration statement on Form S-1 (Commission File No. 333-112589) filed by the Original Sponsor under the Securities Act of 1933, as amended (the "St:curities Act"), and declared effective by the Commission on January 26, 2005. The Shares are registered under Section 12(b) of the Exchange Act and are listed on the American Stock Exchange. Accordingly, the Trust is subject to the reporting requirements of Section 13 of the Exchange Act. The Truslt is a passive investment vehicle the objective of which is for the value of each Share approximately to reflect, at any given time, the value of the gold bullion owned by the Trust less the Trust's liabilities (anticipated to be principally for accrued operating expenses) divided by the number of outstanding Shares. The Trust does not engage in any activities designed to obtain a profit from, or ameliorate losses caused by, changes in the price of gold. The Shares are intended to constitute a simple, liquid and cost-effectivemeans of making an investment similar to an investment in gold. The Trust issues and redeems Shares only in exchange for gold, only in aggregations of 50,000 or integral multiples thereof (each 50,000-share unit is referred to as a "Basket"), and only in transactions with registered broker-dealers (the "Authorized Participants") that have previously entered into an agreement with the Trust governing the terms and conditions of such issuances and redemptions. Authorized Participants are free to break down the 50,000-unit aggregations in which Shares are issued and resell individual Shares to retail and other investors. Due to the particular structure of the Trust, the Original Sponsor sought and received from the staff of the Commission no-action relief in respect of the certifications required to be filed with the Trust's quarterly and annual reports pursuant to Rules 13a-14(a) and 15d-14(a) under the Exchange AC~.'~Except for the amendment to the Trust Agreement dated March 10, 2006, the Trust Agreement currently in effect conforms to the description thereof contained in the request for no-action relief submitted by the Original sponsor.I8 The parties intend to amend and restate the Trust Agreement solely for purposes of effecting the substitution of the New Sponsor in lieu of the Original Sponsor. Other than such substitution, there will be no change to the provisions of the Trust Agreement currently in effect. The substitution is designed to implement the business decision made within the corporate family to which both the Original Sponsor and the New Sponsor belong that the New Sponsor be the specialized entity that will sponsor exchange traded investment vehicles that are not "investment companies" (as defined for purposes of the Investment Company ~ct).'~ The substitution of the New Sponsor for the Original Sponsor will not result in any changes in the operation of the Trust and is expected to take place as soon as practicable after the relief requested hereby has been granted. 17 Letter dated May 19, 2005 from Robert Plesnarski, Deputy Chief Counsel of the Division of Corporation Finance. 18 Since its original execution on January 19, 2005, the Trust Agreement has been amended only once. The amendment, dated as of March 10, 2006, gave to the sponsor of the Trust the powers that the sponsor's chief executive officer and chief financial officer need to have in connection with the Trust's internal control over financial reporting in order to be able to sign Sarbanes-Oxley Certifications in the form attached tcl the no-action relief request submitted to the staff by the Original Sponsor as described in the text. Prior to that amendment, the Original Sponsor and the Trustee were of the view that Section 4.8(b) of the Trust Agreement, by attributing to the Trustee responsibility for the preparation of the Trust's financial statements, implicitly reserved to the Trustee the authority to adopt the internal control over financial reporting used in the preparation of such financial statements. Because the form of Sarbanes-Oxley Certifications attached to the request for no-action relief submitted by the Original Sponsor are to be signed by the sponsor's chief executive officer and chief financial officer, these individuals (and not the Trustee) need to have the authority described in paragraphs 4(a) and 4(b) of the Sarbanes-Oxley Certifications. The amendment ensures that such is, in fact, the case. 19 Consistent with the business decision referred to in the text, the New Sponsor has filed registration statements under the Securities Act for the ishares Silver Trust and the Shares GSCI Commodity-Indexed Trust.

As part of its comprehensive regulatory oversight, the FSA conducts periodic reviews of various entities and operations/businesses within the Barclays Group, and to the extent the business is conducted outside the UK through entities not subject to direct FSA regulatory oversight, liaises routinely with non-UK regulators. As a direct subsidiary of Barclays Bank PLC, the FSA has the power and authority to oversee (including by means of periodic reviews) E'GI-UK's activities and business records. To date, the FSA has not exercised that power with respect to BGI-UK. Other non-UK subsidiaries of BGI UK are subject to regulatory oversight by local regulatory agencies (including, but not limited to, the Office of the Comptroller of the Currency, Japan FSA, Australia Securities and Investment Commission ("ASIC")) from whom the FSA routinely seeks and receives information. In compliance with that provision, the Commission promulgated Rules 13a-14(a) and 15d-14(a), and amended Item 60 1 of Regulation S-K to adopt the language of the certifications that must be filed exactly as adopted by tht: Commission by each principal executive officer and principal financial officer of a registrant. CHANCE staff granted reliel' similar to the one requested hereby. As it was the case in streetTRACKSO Gold Trust, with respect to the matters addressed in the fifth paragraph of the certifications, the New Sponsor expects the certifying officers to report to the Audit Committee of the New Sponsor's parent. Given that BGI-UK has its own board of directors and audit committee and is subject to the oversight of, and regulation by, the Financial Services Authority of the United Kingdom, we respectfully submit that the reporting procedures proposed by the New Sponsor are at least as protective of investors' interests as those found adequate by the staff in streetTRACKS03 Gold Trust. The other precedents listed above are consistent with the relief requested hereby. In each of them the staff took into consideration the structure and passive nature of the issuer in granting relief in regard to the certification requirements of Rules 13a-14(a) and 15d-14(a). For example, in Bank of America and Hechinger, interpretive and no-action relief was granted to the trustees of royalty trusts or liquidating trust who signed the certifications in lieu of the principal executive officer or the principal financial officer of the registrants. [n addition, because these registrants, like the Trust, did not have directors, audit committee or any officers, changes to the wording of the certifications consistent with those proposed hereby were not objected to by the staff. Similarly, in Mitsubishi interpretive relief was granted to a registrant who, Elecause of the nature of the assets held by the securitization conduit (potentially, vehicles), did not technically have the status of asset-backed issuer. What all these precedents illustrate is the past willingness of the staff to accommodate the particular circumstances of specified issuers that do not meet the prototypes for which the standard certifications were drafted. Relying on these and similar precedents, and ir~voking such willingness, the New Sponsor respectfully requests that the staff indicate that it will not recommend enforcement action if the New Sponsor complies with the certification requirements of Rules 13a-14(a) and 15d-14(a) under the Exchange Act by filing the certifications exactly in the form attached hereto as Exhibit A. The relief requested is limited to the description of the operation of the Trust and the New Sponsor in this leltter and does not encompass any future changes to the structure of the Trust or the New Sponsor.
