SEC Division of Corporation Finance no-action letter: Weatherford International

The Division will not object if Weatherford Bermuda files post-effective amendments to Weatherford Delaware's registration statements on Forms S-3 and Form S-8 under Rule 414. Weatherford Bermuda may use Weatherford Delaware's reporting history to determine eligibility for Forms S-3, S-4, and S-8, and may rely on Rule 12g-3(a) to register its Common Stock under the Exchange Act. Persons holding Schedule 13D or 13G reports are not required to file additional statements, provided they note Weatherford Bermuda's succession to Weatherford Delaware. The Division will not recommend enforcement action if Weatherford Bermuda does not register its assumption of Weatherford Delaware's indenture obligations or qualify supplemental indentures under the Trust Indenture Act, and if convertible debenture shares are issued without registration under Section 3(a)(9).
