SEC Division of Investment Management staff letter: Credit Suisse First Boston LLC f/k/a Credit Suisse First Boston Corporation

The SEC staff will not recommend enforcement action under Section 206(4) of the Investment Advisers Act and Rule 206(4)-3 if an investment adviser pays Credit Suisse First Boston LLC a cash solicitation fee, notwithstanding a Final Judgment that would otherwise disqualify the Firm. This relief applies only to the specific Final Judgment and any related State Judgment, not to other bases for disqualification under the Rule. The Firm must comply with the Final Judgment, including payment of disgorgement and penalties, and must disclose the Final Judgment in writing to solicited persons at least 48 hours before contract entry or at entry if a 5-business-day termination right exists. This position is effective as of October 31, 2003, and was withdrawn effective November 4, 2022.
