SEC Division of Investment Management staff letter: France Growth Fund, Inc.

The SEC staff will not recommend enforcement action against The France Growth Fund, Inc. for purchasing securities issued by unregistered foreign investment companies in excess of the limits imposed by section 12(d)(1)(A) of the Investment Company Act of 1940. The staff will also not recommend enforcement action against the Fund or the foreign investment companies under section 7(d) of the 1940 Act for the offer and sale of those securities to the Fund. This position is contingent on the Fund's representations, including treating holdings as subject to section 5(b)(1) diversification limitations, limiting investments to funds that do not own other investment company securities, and providing specific disclosure to shareholders.
