Wachovia Securities, LLC requests no-action relief from the disqualification provisions of Rule 206(4)-3 under the Investment Advisers Act of 1940, which would otherwise prohibit it from receiving cash payments for soliciting advisory clients due to a Final Judgment entered in connection with the sale of auction rate securities. The Settling Firm represents that it will comply with the Final Judgment, including buyback obligations, and will disclose the Judgment to solicited persons for ten years. The request seeks assurance that the SEC staff will not recommend enforcement action if an investment adviser pays Wachovia Securities for such solicitation activities.
