SEC Division of Investment Management staff letter: Wm. S. Barnickel & Company

The staff of the Division of Investment Management will not recommend enforcement action to the Commission if Wm. S. Barnickel & Company and the William S. Barnickel Trust count only the transferors of interests by will or charitable donation, and not the recipients, as beneficial owners for purposes of Section 3(c)(1) of the Investment Company Act of 1940. The staff further determines that the Company may disregard the Lehmann Trusts for counting beneficial owners because all beneficiaries of those trusts are also beneficiaries of the main Trust, thereby avoiding double counting. This position applies to transfers occurring both prior to and subsequent to the 1980 adoption of Section 3(c)(1)(B), allowing the entities to maintain fewer than 100 beneficial owners and qualify for the private investment company exemption.
