SEC Division of Trading and Markets no-action letter: Borsa Italiana S.p.A.

The SEC Division of Trading and Markets will not recommend enforcement against Borsa Italiana S.p.A., the Stock Exchange, or the IDEM for operating without registering as a national securities exchange, broker-dealer, or clearing agency, provided they adhere to specified conditions for S&P/MIB Index Options. The Exchange must restrict transactions to Eligible Broker-Dealers and Eligible Institutions, require written representations regarding their status and prior U.S. options experience, and prohibit direct electronic access for U.S. persons. Additionally, Borsa Italiana must ensure no general advertising occurs in the United States and that the S&P/MIB Index excludes foreign stocks unless information-sharing agreements exist with foreign regulators.
