SEC Division of Trading and Markets no-action letter: Headway Corporate Staff Administration

The Division of Market Regulation will not recommend enforcement action to the Commission under Section 15(a) of the Securities Exchange Act of 1934 if Headway Corporate Staff Administration provides employee leasing services to registered broker-dealers without registering as a broker-dealer. Headway places existing employees of its broker-dealer clients on its payroll while the clients retain all supervisory control, including hiring, firing, and compensation decisions. Headway charges an administrative fee based on gross payroll rather than brokerage commissions and does not engage in securities-related activities or promote specific broker-dealers. The broker-dealer clients remain solely responsible for the registration, training, and supervision of the employees under applicable securities laws.
