The Securities and Exchange Commission grants an exemption from Rule 14e-5 under the Securities Exchange Act of 1934 to permit Prospective Purchasers, including Investor AB and EQT IV No. 1 L.P., to purchase or arrange to purchase Gambro AB shares outside the tender offer. This relief is subject to ten conditions, including prohibitions on purchases within the United States, requirements to improve the offer price to match any outside purchases, and obligations to disclose purchase information and provide daily transaction schedules to the Division of Market Regulation upon request. The exemption applies strictly to the proposed transactions and requires discontinuation if material changes occur in the underlying facts or representations.
