SEC Division of Trading and Markets no-action letter: NASD, Inc.

The staff will not recommend enforcement action under Rules 15b1-1, 15b3-1, 15Ba2-2, and 15Ca2-1 if broker-dealers file the Uniform Branch Office Registration Form (Form BR) instead of Schedule E of Form BD starting October 15, 2005. During the transition period when the Central Registration Depository system stops accepting Schedule E filings, broker-dealers may update Schedule E information on Form BR no later than 30 days after Form BR becomes effective on October 31, 2005. This relief applies to all broker-dealers registered with the Commission and is limited strictly to the facts and conditions described in the request.
