SEC Division of Trading and Markets no-action letter: ParisBourse SA

The Division will not recommend enforcement action against ParisBourse SA, Paris Markets, or MONEP Members for failing to register as broker-dealers, clearing agencies, or securities exchanges, provided MONEP Representatives located in New York City and Chicago offices limit their activities to familiarizing Eligible Broker-Dealers and Eligible Institutions with MONEP Options. These representatives are prohibited from giving investment advice, soliciting orders, or recommending specific members, and must ensure that direct electronic access to MONEP Options for persons in the United States is not provided through GLOBEX II or other means without express Commission approval. Eligible entities must be qualified institutional buyers or international organizations with prior U.S. options experience, and transactions must comply with Exchange Act Rule 15a-6, including the provision of the Updated MONEP Disclosure Document and Supplement prior to effecting trades.
