SEC Division of Trading and Markets no-action letter: Scripophily.com

The staff of the Division of Market Regulation will not recommend enforcement action to the Commission under Section 15(a)(1) of the Securities Exchange Act of 1934 if Scripophily.com markets non-cancelled single share stock certificates without registering as a broker-dealer under Section 15(b). This relief is granted provided Scripophily.com sells only single shares for at least twice the underlying share's value, purchases shares through a registered broker-dealer, issues certificates in its own name, stamps them as non-redeemable and non-transferable, and provides prominent written disclosures at the point of purchase and upon delivery.
