SEC Staff Legal Bulletin: SLB 14E

The Division of Corporation Finance modifies its analytical framework for determining whether companies may exclude shareholder proposals under Rule 14a-8(i)(7) as relating to ordinary business operations. For risk-related proposals, the Division will now focus on the underlying subject matter of the risk rather than whether the proposal requires an evaluation of risk, generally permitting exclusion only if the subject matter involves ordinary business matters. Additionally, the Division will no longer generally permit companies to exclude proposals focusing on CEO succession planning under the ordinary business exclusion, recognizing such matters as significant policy issues regarding corporate governance.
