Security Ratings

The Securities and Exchange Commission proposes to replace rule and form requirements under the Securities Act of 1933 and the Securities Exchange Act of 1934 that rely on security ratings with alternative requirements. The proposal specifically targets eligibility criteria for Forms S-3 and F-3, as well as shelf registration rules for asset-backed securities, by removing reliance on investment grade ratings by nationally recognized statistical rating organizations. The Commission also requests comment on rules relating to the disclosure of security ratings in registration statements and reports. Comments on these proposed amendments are due by September 5, 2008.
