Short Selling in Connection With a Public Offering

The Securities and Exchange Commission adopts amendments to Rule 105 of Regulation M to prohibit any person from purchasing offered securities in a firm commitment equity offering if that person effected a short sale during the restricted period. The restricted period is defined as the shorter of five business days before pricing or the period from the initial filing of the registration statement to pricing. The amendments eliminate the previous prohibition on covering short sales with offered securities and instead impose an absolute ban on purchasing in the offering by restricted period short sellers. The rule includes exceptions for best efforts offerings, separate accounts with independent decision-making, and certain affiliated investment companies.
